Terms of Service for Overdub

These Terms of Service ("Terms") govern your access to and use of the mobile and web application Overdub and related services (collectively, the "Service") operated by MynaLabs Inc. ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility and Account

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the authority to enter into these Terms.

Some features may require you to create an account. You are responsible for:

• providing accurate and complete registration information;
• maintaining the confidentiality of your login credentials; and
• all activities that occur under your account.

You must notify us immediately at support@overdub.app if you suspect any unauthorized access to your account.

2. Description of the Service

The Service provides tools for creating and interacting with AI-powered content, including:

• voice and audio effects, clips, and messages using your recordings or prompts;
• AI-generated responses, conversations, and character experiences in chat; and
• other features that we may add, modify, or remove from time to time.

The specific features available to you may depend on your plan, region, and device.

3. Subscriptions, Billing and In-App Purchases

The Service may offer free access, paid subscriptions, and one-time in-app purchases ("Purchases"). Pricing, billing period, and available plans are shown in the app or on our website.

3.1 Third-party stores

If you obtained the Service through a third-party platform (such as the Apple App Store or Google Play Store), billing and refunds are governed by that platform's terms and policies. Please review their terms carefully.

3.2 Renewals and cancellation

• Paid subscriptions typically renew automatically at the end of each billing period unless you cancel.
• You can cancel your subscription at any time via the platform where you purchased it (e.g., App Store / Play Store) or via the in-app subscription management screen, if available.
• Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

3.3 Trials and changes

• We may offer free or discounted trials. We reserve the right to modify or withdraw trial offers at any time.
• We may change pricing and plan structure in the future. Any changes will apply to new purchases. For existing subscriptions, we will provide notice as required by applicable law.

4. Acceptable Use

You agree not to use the Service to:

• violate any applicable law or regulation;
• harass, threaten, or harm others, or encourage self-harm or harm to others;
• create, share, or request content that exploits or endangers minors, or that involves sexual content with minors (real or fictional);
• upload or generate content that is illegal, defamatory, hateful, or promotes violence or discrimination;
• reverse engineer, decompile, or attempt to derive the source code of the Service, except where legally permitted;
• interfere with or disrupt the Service or systems connected to the Service;
• use the Service for high-risk activities where errors could lead to injury, death, or significant property damage (e.g., medical or safety-critical advice).

We may suspend or terminate your access if we believe, in our discretion, that your use violates these Terms or presents risk to other users, the Service, or third parties.

5. AI-Generated and User Content

5.1 Your content

"User Content" means prompts, text, audio, images, profile information, feedback, and other material you provide to or through the Service.

You retain any rights you have in your User Content. By providing User Content, you grant MynaLabs Inc. a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display such content solely for the purpose of operating, improving, and providing the Service, and as otherwise described in our Privacy Policy.

5.2 AI-generated output

The Service may generate text, audio, or other outputs ("AI Content") in response to your inputs. To the extent permitted by law and subject to any rights in underlying training data, we grant you a non-exclusive license to use AI Content for your personal, non-commercial purposes. You are responsible for reviewing AI Content before you share or rely on it.

5.3 Responsibility for content

AI Content may be inaccurate, incomplete, offensive, or unexpected. The Service does not provide professional advice. You are solely responsible for:

• how you use AI Content and User Content;
• complying with applicable laws (including copyright, privacy, and data protection); and
• obtaining any necessary rights or permissions for content you upload or create.

6. Intellectual Property

The Service, including software, interfaces, graphics, logos, and other materials (excluding User Content and AI Content as described above), is owned by or licensed to MynaLabs Inc. and is protected by copyright, trademark, and other laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code, except as permitted by law.

7. Third-Party Services and Links

The Service may integrate or link to third-party applications, content, or services. We do not control and are not responsible for these third parties. Your use of them is subject to their own terms and policies.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI Content will be accurate, reliable, or suitable for any particular use.

9. Limitation of Liability

To the maximum extent permitted by law, MynaLabs Inc. and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the Service.

Our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amounts you paid us for access to the Service during the three (3) months immediately prior to the event giving rise to the claim, or (b) USD 100.

10. Indemnification

You agree to indemnify and hold harmless MynaLabs Inc. and its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• your use of the Service;
• your User Content; or
• your violation of these Terms or any applicable law.

11. Changes to the Service and to These Terms

We may modify or discontinue all or part of the Service at any time, with or without notice.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If we make material changes, we will provide additional notice as required by law. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
